GENERAL
TERMS OF SALE

| The following terms are essential to the supply of goods and accepted in full by the purchaser when the order is placed. |
| 1 - QUOTATIONS |
| Quotations are not binding until the order has been finalized. We maintain o wnershp of all drawing, illustration, samples and other documentation contained in our catalogues. Therefore, this material cannot be transferred to third parties without our autorizzation. The listed dimensions and weights are not binding. |
| 2 - PRICE |
| Unless otherwise specified, the price are expressed in italian lire. The supply is always carried out based on the price indicated in the O.R. s.r.l. price list in effect at the time of the order, VAT and packing are not in icluded. |
| 3 - DELIVERY |
| Any terms of delivery astabilished at the time of purchase are strictly indicative and are not binding. Claims of compensation for damage, for late delivery cause by difficulties, problems in procuring raw materials or force majeur will not be taken into considerations. Order cancellation will not be accepted. |
| 4 - SHIPMENT |
| All goods sent through third parties, even if delivered carriage paid, are shipped at the purchaser's risk. Unless otherwise specified, shipment will be handled by our company ussing the means considered to be most suitable and without any responsability. |
| 5 - TRADEMARKS |
| Purchaser of O.R. s.r.l. products who retail these product are required to respect the original product presentation and cannot eliminate any trademarks. |
| 6 - PACKING |
| Packing is calculated as a separate cost and in non-returnable. |
| 7 - PAYMENT |
| Payment must be made within the estabilish date. Bank interest rates, as estabilished, will be applied to any late payment. The goods will remain the property of the O.R. s.r.l. Company until the goods have been paid in full. |
| 8 - CLAIMS |
| For any difference between the supply and the goods orders, as well as any for flaws in the supplied goods, O.R. s.r.l. must be notified immediately upon receipt of the supply and in any case, within 8 days or delivery. |
| 9 - WARRANTY |
| The O.R. s.r.l. Company pledges that it will arrange to repair or replace googs found to be defective, but it will not bear any costs for damage or expensive for any reasons or cause. The warranty does not cover problems caused by normal wear, or damage caused by blows or misuse of the product. |
| 10 - RETURNS |
| Returns of material supplied in compliance with the order will not be accepted. For returns that have been authorized following agreements reached between the parties in the spirit of fairness and cooperations packing and shipping costs are at the client's expanse. Non-standard parts cannot be returned. |
| 11 - COMPETENT COURT OF LAW |
| Any disputes arising from the supply will be assigned solely to he giurisdictions of the court of Torino, Italy. |
